To support the Corporate HQ in Columbia, MO, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, drafting, and negotiating transaction documents, while collaborating closely with senior leadership and various business teams in a remote work environment.

##### Key responsibilities

Structure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investments

Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders

Serve as the primary legal advisor to the Corporate Development team, providing strategic advice on deal structures and negotiation strategies

##### Required qualifications

Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar

At least 4 years of relevant legal experience, with a significant focus on M&A and hands-on experience in drafting and negotiating complex agreements

Expertise in corporate law, contract law, and securities law

Experience in managing multiple complex projects simultaneously under tight deadlines

Familiarity with contract lifecycle management tools or legal technology is a plus
