Job Description
To support a prestigious corporate practice, the temporary-to-hire Contract Paralegal Specialist will independently manage transactions, compliance projects, and corporate governance tasks in a hybrid work environment, requiring a deep understanding of corporate law and advanced software tools.
##### Key Responsibilities
Perform and maintain capitalization tables, stock ledgers, and option ledgers using specialized software
Organize, prepare, and file corporate legal documents for major transactions, including Articles of Incorporation and merger documents
Assist with entity formation and maintenance, including drafting by-laws and preparing stock certificates
##### Required Qualifications
10+ years of paralegal experience specializing in corporate law
Hands-on experience with equity management tools like Carta and Pulley, and electronic data rooms such as HighQ and Box
Ability to operate with minimal supervision and manage large volumes of data
Bachelor's degree or Paralegal Certificate; California Paralegal Requirements must be met for California-based candidates
Exceptional verbal and written communication skills for interfacing with clients and managing partners
