Supporting the Corporate HQ in Columbia, MO, the full-time salaried Corporate Development Counsel will manage the legal aspects of M&A and strategic investment activities, including structuring, drafting, and negotiating transaction documents, while collaborating with senior leadership and business teams in a remote work environment.

##### Key responsibilities

Structure, draft, and negotiate key transaction documents for acquisitions, divestitures, and strategic investments

Lead and manage the end-to-end legal due diligence process, coordinating with internal specialists and summarizing findings for stakeholders

Serve as the primary legal advisor to the Corporate Development team, providing strategic and tactical advice on deal structures and negotiation strategy

##### Required qualifications

Juris Doctor (J.D.) from an accredited law school with active membership in at least one state bar

At least 4 years of relevant legal experience focused on M&A, including hands-on experience in drafting and negotiating complex transaction agreements

Expertise in all facets of the M&A lifecycle and a strong understanding of corporate law, contract law, and securities law

Proven ability to manage multiple complex projects simultaneously in high-pressure situations

Experience at a law firm in its M&A/Corporate practice is strongly preferred; in-house experience at a technology or high-growth company is a plus
